This End-User Agreement is an agreement between you and Samuel Jackson, Inc. I. ACKNOWLEDGMENT AND ACCEPTANCE OF AGREEMENT The Samuel Jackson, Inc. Website (“Service”), provided by Samuel Jackson, Inc. (“Company”) is provided to you ("User") under the terms and conditions of this End-User Agreement, and any amendments thereto and any operating rules or policies that may be published from time to time by Company and Partner, all of which are hereby incorporated by reference. The End-User Agreement comprises the entire agreement between User and Company and supersedes any prior agreements pertaining to the subject matter contained herein. SYSTEM REQUIREMENTS This Service is provided to User at the discretion of Company and Company has no obligation to provide the Service to User. Company does not charge User for the Service. Use of the Service requires a compatible computer, Internet access (fees may apply), and certain software (fees may apply), and may require obtaining updates or upgrades from time to time. Because use of the Service involves hardware, software, and Internet access, your ability to use the Service may be affected by the performance of these factors. High speed “so called broadband" Internet access is strongly recommended. You acknowledge and agree that such system requirements, which may be changed from time to time, are your responsibility. The Service is not part of any other product or offering, and no purchase or obtaining of any other product shall be construed to represent or guarantee you access to the Service. III. MODIFICATIONS TO AGREEMENT / SERVICE Company may change the End-User Agreement from time to time without prior notification to the user. Company reserves the right to modify or discontinue, temporarily or permanently, the Service with or without notice to User. User agrees that Company shall not be liable to User or any third-party for any modification or discontinuance of the Service. IV. INDEMNITY User agrees to indemnify and hold Company and its parents, subsidiaries, affiliates, directors, officers, employees, agents, contractors and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of User's use of the Service, User's connection to the Service, User's violation of the End-User Agreement, or User's violation of any rights of another. V. DISCLAIMER OF WARRANTIES a. USER EXPRESSLY AGREES THAT USE OF THE SERVICE IS AT USER'S SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. COMPANY DOES NOT REPRESENT OR GUARANTEE THAT THE SERVICE WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING OR OTHER SECURITY INTRUSION, AND COMPANY DISCLAIMS ANY LIABILITY RELATING THERETO. YOU SHALL BE RESPONSIBLE FOR BACKING UP YOUR OWN SYSTEM. b. COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY USER FROM COMPANY OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN. c. USER AGREES THAT COMPANY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, RESULTING FROM THE USE OR THE INABILITY TO USE THE SERVICE OR FOR COST OF PROCUREMENT OF SUBSTITUTE MUSIC OR VIDEO OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF USER'S TRANSMISSIONS OF DATA. VI. INTELLECTUAL PROPERTY a. You understand that the Service, and products provided through the Service, including, but not limited to sound recordings and audiovisual works ("Products"), are protected by Copyright, Trademark and other intellectual property law and limit your usage of Products to certain usage rules established by Company ("Usage Rules"). You agree to comply with such Usage Rules, as further outlined below, and you agree not to violate or attempt to violate any security components. You agree not to attempt to, or assist another person to, circumvent, reverse-engineer, decompile, disassemble, or otherwise tamper with any of the security components related to such Usage Rules for any reason whatsoever. Usage Rules may be controlled and monitored by Company for compliance purposes, and Company reserves the right to enforce the Usage Rules with or without notice to you. You agree not to modify the website in any manner or form, for any purposes including obtaining unauthorized access to the Service. Violations of system or network security may result in civil or criminal liability. b. Trademarks. Company, the Company logo, and other Company trademarks, service marks, graphics, and logos used in connection with the Service are trademarks or registered trademarks of Samuel Jackson, Inc. You are granted no right or license with respect to any of the aforesaid trademarks and any use of such trademarks. VII. DOWNLOAD OF COMPANY CONTENT a. Use of Products. You acknowledge that copyright laws limit your usage of Products to the following Usage Rules, and you agree to use Products in compliance with such Usage Rules. (i) Usage Rules (a) Your use of the Products is conditioned upon your prior acceptance of the terms of this Agreement. (b) You shall be authorized to use the Products only for personal, noncommercial use. Commercial use includes, but is not limited to, renting, leasing, loaning, selling or distributing the Products. The Products or copies of the Products may not be resold or streamed either for profit or non-profit use. (c) Any burning or exporting capabilities are solely an accommodation to you and shall not constitute a grant or waiver (or other limitation or implication) of any rights of the copyright owners in any content, sound recording, underlying musical composition, or artwork embodied in the Products. (d) You agree that you will not attempt to, or encourage or assist any other person to, circumvent or modify any security technology or software that is part of the Service or used to administer the Usage Rules. (e) You agree not to modify the Products or create derivative works based on the Products. (f) The delivery of Products does not transfer to you any commercial or promotional use rights in the Products. b. You agree that your download of Products constitutes your acceptance of and agreement to use such Products solely in accordance with the Usage Rules, and that any other use of the Products may constitute a copyright infringement. The Usage Rules shall govern your rights with respect to the Products, in addition to any other terms or rules that may have been established between you and another party. Company reserves the right to modify the Usage Rules at any time. c. Trademarks. Company, the Company logo, and other Company trademarks, service marks, graphics, and logos used in connection with the Service are trademarks or registered trademarks of Samuel Jackson, Inc. You are granted no right or license with respect to any of the aforesaid trademarks and any use of such trademarks. VIII. MISCELLANEOUS a. The End-User Agreement and the relationship between User and Company and shall be governed by the laws of the State of Texas without regard to its conflict of law provisions. User and Company agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Lubbock in the state of Texas. b. The failure of Company to exercise or enforce any right or provision of the End-User Agreement shall not constitute a waiver of such right or provision. If any provision of the End-User Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the End-User Agreement remain in full force and effect. c. The Company may provide notices of changes to the End-User Agreement or other matters by displaying notices to Users generally on the website. d. User agrees that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the End-User Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred. e. The section titles in the End-User Agreement are for convenience only and have no legal or contractual effect. IX. ENTIRE AGREEMENT These terms of service constitute the entire agreement between you and Company and govern your use of the Service, superseding any prior agreements between you and Company.
